These Terms govern your access to and use of the services provided by AgroRide Apex Limited, trading as AgroRide, across our WhatsApp marketplace and digital platforms.

1. Introduction

These Terms of Service ("Terms") govern your access to and use of the services provided by AgroRide Apex Limited, trading as AgroRide ("AgroRide", "we", "us", or "our").

AgroRide is a Nigerian agri-commerce and logistics coordination platform that connects farmers, agricultural sellers, buyers, personal shoppers, and logistics providers through a WhatsApp-first marketplace and related digital services.

By accessing or using AgroRide, including through WhatsApp, our website, forms, marketplace, or other digital channels, you agree to be bound by these Terms.

If you do not agree with these Terms, you should not use AgroRide's services.

2. About AgroRide

AgroRide provides technology and coordination services that facilitate interactions between participants in the agricultural value chain. Our services may include:

  • User onboarding and KYC verification
  • Agricultural product listing
  • Supply and demand matching
  • Buyer and seller communication
  • Personal shopping coordination
  • Logistics coordination
  • Delivery tracking and confirmation
  • Transaction coordination
  • Ratings and feedback
  • Marketplace and operational support

AgroRide's model is designed to connect participants rather than operate as the producer, owner, or seller of every product listed on the platform. Unless expressly stated otherwise, AgroRide does not manufacture, grow, own, or directly sell products listed by independent farmers or sellers.

3. Definitions

"AgroRide": AgroRide Apex Limited.
"Platform": AgroRide's website, WhatsApp services, marketplace, software, systems, forms, interfaces, and related digital services.
"User": Any individual or organisation accessing or using AgroRide.
"Farmer": A user who produces or supplies agricultural products.
"Seller": A user who offers agricultural products for sale through AgroRide.
"Buyer": A user who purchases or attempts to purchase products through AgroRide.
"Personal Shopper": A user who accepts shopping requests and purchases products on behalf of buyers.
"Logistics Partner": An independent third-party logistics provider that performs transportation or delivery services.
"Order": A request to purchase products or obtain a related AgroRide service.
"Transaction": An arrangement involving the purchase, sale, delivery, or fulfilment of products or services through AgroRide.
"User Content": Information, images, descriptions, reviews, listings, messages, documents, or other content submitted by a user.

4. Eligibility

To use AgroRide, you must:

  • Provide accurate and truthful information;
  • Be legally capable of entering into agreements;
  • Comply with applicable Nigerian laws and regulations;
  • Complete any required verification or KYC process;
  • Maintain the security of your account and access credentials;
  • Use AgroRide only for lawful purposes.

AgroRide may restrict access to certain services where additional eligibility requirements apply.

5. User Registration and KYC

Certain AgroRide services may require registration and identity verification. You agree that:

  1. Information you provide must be accurate, complete, and current.
  2. You will update information where it changes.
  3. You will not create an account using another person's identity without lawful authority.
  4. You will not submit fraudulent, altered, or misleading documents.
  5. You will cooperate with reasonable verification requirements.

AgroRide may suspend or terminate an account where information provided is false, misleading, fraudulent, or cannot reasonably be verified. KYC information will be processed in accordance with AgroRide's Privacy Policy.

6. User Roles

6.1 Farmers

Farmers may list agricultural products they produce or have the lawful right to supply and are responsible for ensuring:

  • Product information is accurate and reasonably available;
  • Products meet applicable quality and safety requirements;
  • Prices and availability are accurately represented;
  • Orders accepted can reasonably be fulfilled.

6.2 Sellers

Sellers are responsible for the legality, accurate description, pricing, product quality, availability, proper fulfillment of accepted orders, and legal compliance.

6.3 Buyers

Buyers are responsible for accurate order details, timely payments, being available for delivery reception, inspecting products upon arrival, and reporting issues promptly.

6.4 Personal Shoppers

Personal Shoppers must follow Buyer instructions, act honestly and professionally, keep accurate purchase records, communicate price/availability variations, and handle products with care.

6.5 Logistics Partners

Independent logistics providers are responsible for lawful transport, required licenses, safe handling, accurate tracking updates, and transit safety compliance.

7. Marketplace Listings

Users who list products on AgroRide must provide accurate and complete product name, description, quantity, price, location, availability, and images.

Prohibited Listings:

Users must not list counterfeit goods, stolen goods, illegal goods, unsafe goods, prohibited products, or products they lack legal authority to sell. AgroRide reserves the right to remove any non-compliant listings.

8. Product Quality and Condition

Farmers and Sellers are primarily responsible for the quality, authenticity, condition, safety, and legality of products they list. Because agricultural products may be fresh, seasonal, perishable, or subject to natural variation, actual products may differ in appearance, size, weight, colour, or other characteristics from photographs or descriptions.

Where reasonably possible, users should inspect products upon delivery.

9. Prices and Fees

Prices displayed should accurately reflect the applicable order terms. An order may include product price, AgroRide transaction commission or service fee, logistics fee, personal shopper fee, and applicable taxes. Fees are disclosed prior to transaction completion.

10. Orders

Submitting an order constitutes a request to purchase or obtain services. An order is not accepted merely because it has been submitted. It may be modified or cancelled based on product availability, seller confirmation, price variations, verification, logistics, or suspected fraud.

11. Payments

Where payment is required, Buyers agree to pay using approved payment methods. Payment processing is facilitated by licensed third-party providers. Users must provide authentic payment methods and refrain from fraudulent or unlawful payment activities.

12. Personal Shopping Services

Buyers requesting Personal Shopping must provide clear instructions. Shoppers attempt fulfillment based on market availability. Prices may differ from initial estimates based on prevailing market rates, with differences communicated where possible.

13. Logistics and Delivery & 14. Risk During Delivery

AgroRide coordinates logistics through independent third-party logistics partners. Delivery timeframes are estimates and may be affected by traffic, weather, road conditions, or security factors. In the event of damaged or lost produce during transit, AgroRide investigates and assists in coordinating an appropriate resolution.

15. Cancellations & 16. Refunds and Disputes

Orders may be cancelled if items are unavailable or upon legitimate user request. If you encounter incorrect fulfillment or damaged items, contact AgroRide promptly with photographs and order details for investigation. Resolutions may include replacement, full/partial refund, redelivery, or credit, without limiting statutory consumer rights under Nigerian law.

17. User Responsibilities & Prohibited Activities

You expressly agree not to:

  • Provide false, deceptive, or misleading information;
  • Impersonate another individual or company;
  • Circumvent platform commission fees or manipulate pricing;
  • Sell prohibited, dangerous, stolen, or illicit products;
  • Harass, abuse, or threaten platform participants;
  • Scrape data, introduce malware, or attempt unauthorized system access;
  • Engage in money laundering, fraud, or unlawful financial transactions.

18–25. Platform Operations, IP, & WhatsApp Integration

Feedback must be honest, non-abusive, and free from commercial extortion.

19. Communications

You agree to receive operational messages regarding orders, security, and KYC.

20. WhatsApp Services

WhatsApp interactions are additionally subject to WhatsApp policies.

21. Intellectual Property

AgroRide retains all proprietary rights to its brand, logos, software, and systems.

22. User Content

You grant AgroRide a license to display listings and process transactions.

23. Privacy

All personal data is handled under our Privacy Policy.

24. Platform Availability

Services are provided on a best-effort basis and may undergo routine maintenance.

25. Third-Party Services

Integrations include payment, map, and messaging providers with their own terms.

26–29. Disclaimers, Liability, & Indemnity

26. Disclaimers

AgroRide provides a coordination marketplace and does not guarantee specific harvest outcomes, individual seller behavior, or uninterrupted digital uptime.

27. Limitation of Liability

To the maximum extent permitted by Nigerian law, AgroRide will not be liable for losses arising from matters outside our reasonable control.

28. Indemnification

Users agree to indemnify AgroRide against claims arising from breach of these Terms, unlawful conduct, or fraud.

29. Account Suspension & Termination

AgroRide may suspend or terminate accounts that breach terms, submit fraudulent data, or pose safety risks.

30–35. Dispute Resolution & Governing Law

Dispute Resolution: We encourage users to contact us directly to resolve any concerns. If a dispute cannot be resolved directly, parties may pursue mediation, arbitration, or court proceedings under applicable Nigerian legislation.

Governing Law: These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria.

Sections 32–35 establish rules regarding material updates to terms, severability of invalid clauses, non-waiver of rights, and the status of these Terms as the entire agreement.
